In case of an acquisition, our first task will involve a review of the client’s assumptions about the market evolution, the strength of the competition and the viability of the project. This may also include a review of the tax and regulatory environment.
Once the decision to proceed with an acquisition is confirmed, we conduct an analysis of the universe of potential targets, prepare a list of selected targets and assist the client in the final selection. We then approach the target(s) on behalf of the client.
When our initial approach meets with a sufficient level of interest, a more formal negotiation starts after the signing of an NDA. We assist our client in the analysis of the information received, in formulating a price range and a transaction structure and in negotiating a Letter of Intent.
We are also in charge of coordinating the different actors of the due diligence such as auditors, lawyers and other professional advisors involved.
We play an important role assisting our client during the final negotiation leading to the signing of the Sale & Purchase Agreement and all other relevant documents.
We then follow up to bring the process to the final close.
