WHAT WE DO FOR OUR CLIENTS

Milma helps foreign companies achieve their acquisition, divestment and partnership objectives in the Greater China region and in Japan.

For any company, acquisitions and divestments are among the most complicated managerial, financial and legal processes to execute; success or failure have profound consequences lasting for many years. This is particularly true when transactions happen across national or continental boundaries in different cultural and linguistic environments.

At Milma, we work with our clients starting from the strategic analysis of the proposed transaction up to the closing.

PRELIMINARY WORK

In case of an acquisition, our first task will involve a review of the client’s assumptions about the market evolution, the strength of the competition and the viability of the project. This may also include a review of the tax and regulatory environment.

THE APPROACH OF POTENTIAL TARGETS

Once the decision to proceed with an acquisition is confirmed, we conduct an analysis of the universe of potential targets, prepare a list of selected targets and assist the client in the final selection. We then approach the target(s) on behalf of the client.

THE NEGOCIATION UP TO THE LOI

When our initial approach meets with a sufficient level of interest, a more formal negotiation starts after the signing of an NDA. We assist our client in the analysis of the information received, in formulating a price range and a transaction structure and in negotiating a Letter of Intent.

DUE DILIGENCE

We are also in charge of coordinating the different actors of the due diligence such as auditors, lawyers and other professional advisors involved.

FINAL STAGE OF THE NEGOCIATION

We play an important role assisting our client during the final negotiation leading to the signing of the Sale & Purchase Agreement and all other relevant documents.

CLOSING

We then follow up to bring the process to the final close.

Our long experience of all aspects of the M & A process involving Chinese and Japanese companies offers invaluable experience to our European clients, even to those with permanent M & A teams posted in Asia.
